Terms and Conditions

These Terms and Conditions ("Terms") govern the relationship between Sleek App LLC ("Agency", "we", "us", or "our") and the client ("Client", "you", or "your") for web development, design, and optimization services. By engaging our services, you agree to be bound by these Terms.

1. Services Provided

Sleek App LLC specializes in the following services ("Services"):

  • Fullstack Web Applications: Custom end-to-end web application development.
  • Shopify Development: Creation and setup of new Shopify websites.
  • Customization: Development of custom Shopify themes, apps, and sections.
  • Optimization: Performance, speed, and conversion rate optimization for existing Shopify stores and fullstack web apps.

The specific scope of work, deliverables, timelines, and pricing will be outlined in a separate Statement of Work (SOW), proposal, or invoice provided to the Client.

2. Client Responsibilities

To ensure the successful and timely delivery of the Services, the Client agrees to:

  • Provide all necessary text, images, branding guidelines, and other digital assets in a timely manner.
  • Grant the Agency necessary access to hosting platforms, code repositories, Shopify admin panels, domain registrars, and third-party APIs.
  • Review deliverables and provide consolidated feedback within 5 business days of receiving a request for approval. Delays in feedback may result in timeline extensions.
3. Payment Terms
  • Fees: Total costs will be outlined in the SOW or proposal.
  • Deposits: A non-refundable deposit of 50% is required before any work begins, unless otherwise specified in writing.
  • Invoicing: The remaining balance will be invoiced upon project completion or at agreed-upon milestones.
  • Late Payments: Invoices are due within 14 days of receipt. Late payments may incur a fee of 1.5% per month on the outstanding balance. The Agency reserves the right to suspend work or withhold final deliverables until payment is received in full.
4. Revisions and Scope Creep

Our proposals include a specified number of revision rounds (typically 2 rounds) during the development phase. Requests that fall outside the original scope of work outlined in the SOW (Scope Creep) will be evaluated and billed at our standard hourly rate or quoted as a separate project.

5. Third-Party Services and Platforms

Our Services heavily rely on third-party platforms, specifically Shopify, as well as various web hosting providers, APIs, and plugins.

  • Compliance: The Client is responsible for complying with the Terms of Service of Shopify and any other third-party software used.
  • Liability: Sleek App LLC is not responsible for any downtime, data loss, API deprecations, or functionality-breaking updates caused by Shopify or other third-party providers.
6. Intellectual Property
  • Client Ownership: Upon receipt of full payment, the Client will own the intellectual property rights to the final custom code, design visuals, and compiled web application.
  • Agency Rights: Sleek App LLC retains the right to use the completed project, including screenshots, links, and descriptions, in our portfolio, case studies, and marketing materials unless a Non-Disclosure Agreement (NDA) is signed prior to the project start.
  • Open Source & Pre-existing Code: Any open-source libraries or pre-existing code frameworks utilized remain under their respective licenses.
7. Warranties and Bug Fixing
  • Testing Period: Following the launch or delivery of the project, we provide a 14-day warranty period to resolve any critical bugs or errors directly related to the work we performed.
  • Exclusions: This warranty does not cover issues caused by third-party plugin updates, changes made by the Client or other developers, or changes to the Shopify platform architecture after the delivery date.
  • "As Is": Beyond the specified warranty period, the Services are provided "as is" without any further warranties, express or implied.
8. Limitation of Liability

In no event shall Sleek App LLC be held liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business interruption arising out of the use or inability to use the developed web applications or Shopify stores. Our total liability for any claim arising out of these Terms shall not exceed the total amount paid by the Client for the specific Services related to the claim.

9. Termination

Either party may terminate the agreement with written notice if the other party breaches a material term of these Terms and fails to cure the breach within 14 days. Upon termination, the Client shall pay for all work completed and expenses incurred up to the date of termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
